Corporate Paralegal

We are looking to add a Corporate Paralegal to our team, who will take on responsibilities including assisting with closing of equity and debt transactions, working on Fund related projects, preparing financing statements, and drafting amendments and mergers.

This position is based out of our Atlanta, GA, office, although we are currently working from home due to COVID-19. Relocation is not required, and highly qualified candidates from across the country are encouraged to apply.

 Key activities include:

  • Work with fund managers to support overall fund administration including funding schedules to manage capital calls, maintaining fund formation checklists, and filing Certificates of Formation/Limited Partnership.
  • Research Federal and State securities regulations in connection with fund formations and preparing and filing requisite notices
  • Oversee document workflow for various agreement and transactional documents including for the funds (e.g., manage the intake of subscription agreements; update investor spreadsheet; file completed documents).
  • Preparing, filing, and managing business entity documents for corporations, LLCs, and partnerships with various state agencies, primarily Delaware but also other jurisdictions, including certificate of formation, certificate of incorporation, amendments, conversions, mergers, and dissolutions.
  • Assist with closing of equity and debt transactions, including managing signature pages, aligning dates, filing final agreements, and general coordination.
  • Prepare and file UCC financing statements, Blue Sky and SEC registrations, including Form D filings, Section 16 filings, Confidential treatment requests and Registration Statements.
  • Manage stock option plan administration, including drafting BOD/shareholder plans, resolutions, agreements, option grant documents, and other state and federal filings.
  • Serve as or support corporate secretary in drafting meeting minutes for Boards of Directors for corporate books and records, audits, and other purposes.
  • Manage capitalization tables and 409a valuations, leveraging both online software (Carta) or Excel, to determine ownership levels during financing and ensure good corporate hygiene generally.

 

Qualifications:

  • Must be available on a full-time basis and eligible to work in the US.
  • Minimum of 8 years paralegal experience with a firm or in house, with a preference for experience in both settings.
  • Heavy transaction experience, including with funds managing in excess of $1B.
  • BA/BS, preferably in quantitative field; paralegal certificate required.
  • Familiarity with business and UCC filings at the Secretary of State level.
  • Experience with corporate equity (common, preferred, liquidation preference, seniority, options, warrants, etc.) and debt (secured/unsecured, promissory, convertible, etc.) structures.
  • Excellent Excel skills and experience with mail merge.
  • Detail-oriented with the ability to prioritize competing deadlines.
  • Ability to work independently and demonstrate mature judgement working with clients in a law firm setting.
  • Familiarity with fund performance tracking (e.g. TVPI, RVPI, etc.) preferred.
  • Experience with Dynamo (fund management software) and cap table management software (e.g. Carta) is a plus.
Summer Interns

Innovators Legal seeks applicants for our first cohort of Innovators Summer Interns. The program will run for 10 weeks between the months of May and August 2021, exact dates to be finalized based upon intern availability.

Innovators Legal is a boutique legal practice with a focus on the legal and business aspects of early-stage technologies. We work with leading universities and research hospitals, venture capital firms, and venture backed companies. In addition to real-world work experience, interns will take part in our summer lecture series and our week-long venture capital bootcamp experience.

Candidates should have or be pursuing a technical science or engineering degree. Ideal candidates will have at least a bachelors degree in a science or engineering discipline and be either currently enrolled or having recently completed a JD or PhD program.
